Acceptance of Terms

By accessing or using any services provided by Soruni Marketing Ltd. ("Soruni", "we", "our"), including our website at soruni.com and all associated digital marketing services, you agree to be bound by these Terms & Conditions.

If you do not agree to these terms, please do not use our services. These Terms apply to all visitors, clients, and partners who access or use our services.

These Terms constitute a legally binding agreement between you and Soruni Marketing Ltd. Please read them carefully before engaging with our services.

Our Services

Soruni Marketing Ltd. provides digital marketing services including but not limited to:

  • Search Engine Optimization (SEO) and website audits
  • Pay-Per-Click (PPC) advertising on Google, Bing, Yandex, Baidu, and others
  • Media buying and programmatic advertising
  • Social media advertising and management (Facebook, Instagram, and other networks)
  • Content marketing and copywriting
  • Web design, development, and maintenance
  • Campaign setup, management, optimization, and reporting

The specific scope of services will be defined in a separate Service Agreement or proposal accepted by the client.

Eligibility

Our services are intended for businesses and individuals who are at least 18 years of age. By engaging with our services, you represent and warrant that you have the legal capacity to enter into a binding agreement and that all information you provide is accurate and up to date.

Client Obligations

To enable Soruni to deliver effective services, clients agree to:

  • Provide accurate, complete, and timely information and access credentials required for campaign execution;
  • Ensure all content and trademarks shared with Soruni are owned by or properly licensed to the client;
  • Comply with all applicable laws and platform policies (e.g., Google Ads, Meta Advertising Standards);
  • Not use Soruni's services for any unlawful, deceptive, or fraudulent purpose;
  • Review and approve deliverables within agreed timelines;
  • Maintain advertising account access and ensure sufficient budgets are available.

Soruni reserves the right to suspend or terminate services if a client violates any of the above obligations.

Intellectual Property

Client materials: All trademarks, content, and logos provided by the client remain the client's property. By sharing these, the client grants Soruni a limited license to use them solely for delivering the agreed services.

Soruni deliverables: Upon full payment, Soruni assigns to the client all rights to creative deliverables produced specifically for that engagement. Proprietary tools, methodologies, and templates developed by Soruni remain Soruni's exclusive property.

Soruni brand: The Soruni website, logo, and brand assets may not be reproduced or used without prior written consent.

Payment Terms

Unless otherwise agreed in writing:

  • Invoices are due within 14 days of issuance;
  • Advertising budgets must be funded in advance unless a credit arrangement has been agreed;
  • Late payments may incur interest at 1.5% per month or the maximum permitted by law;
  • Soruni reserves the right to suspend services for accounts with outstanding balances;
  • All fees are exclusive of applicable taxes (including VAT).

Refunds are not provided for services already rendered or advertising spend already deployed to third-party platforms.

Confidentiality

Both parties agree to keep confidential all proprietary information disclosed in connection with the services, including business strategies, campaign data, and financial information. This obligation survives the termination of the engagement.

Data & Privacy

Soruni processes personal data in accordance with its Privacy Policy, incorporated by reference. Where Soruni processes personal data on behalf of a client, both parties may be required to enter into a Data Processing Agreement in compliance with the GDPR.

Disclaimers

Soruni provides services on a best-efforts basis. We make no guarantees regarding specific outcomes, including search engine rankings, return on investment, lead volume, or conversion rates.

Digital marketing results are influenced by many factors outside Soruni's control, including market conditions, platform algorithm changes, and client-side variables.

Services are provided "as is" without warranties of any kind, to the fullest extent permitted by applicable law.

Limitation of Liability

To the maximum extent permitted by law, Soruni shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or business opportunities.

Soruni's total aggregate liability to a client shall not exceed the total fees paid by that client in the three (3) months preceding the claim. Nothing in these Terms excludes liability for fraud or gross negligence.

Termination

Either party may terminate an engagement with 30 days' written notice. Soruni may terminate immediately for cause (e.g., non-payment, breach, illegal activity). Upon termination, the client is responsible for all fees for services rendered up to that date.

Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of Cyprus. Any disputes shall be subject to the exclusive jurisdiction of the courts of Limassol, Cyprus.

Changes to These Terms

Soruni reserves the right to update these Terms at any time. We will update the "Last updated" date when changes are made. Continued use of our services following changes constitutes acceptance of the revised Terms.
